Celadon Markets LLC – Terms & Conditions

These Terms & Conditions (“Agreement”) govern all transactions involving tickets, vendor spaces, table rentals, and participation in events organized by Celadon Markets LLC (“Celadon Markets,” “we,” “our,” or “us”). By purchasing a ticket, vendor space, or table rental, you agree to be bound by this Agreement.

1. Sale of Tickets and Vendor Spaces

1.1 Payment Processing

Celadon Markets may use third‑party payment processors such as Stripe, Square, or other approved providers.
Once a payment method is used for a transaction, funds from that transaction will continue to be processed through that method even if Celadon Markets updates its systems later.

1.2 Approval Requirements

Some ticket types or vendor registrations may require manual approval.
If approval is not granted within the stated timeframe, the order will be canceled and no payment will be processed.

1.3 Contract Formation

When a Buyer completes checkout and payment is accepted, a binding agreement is formed between the Buyer and Celadon Markets.
An Order Confirmation is automatically issued upon successful payment.

1.4 Delivery Issues

If a Buyer does not receive their confirmation email, Celadon Markets will make reasonable efforts to resend it before the event.

1.5 Disputes Between Buyer and Seller

Any dispute regarding the event experience, ticket value, or vendor space purchase is strictly between the Buyer and Celadon Markets.

2. Payments to Vendors

2.1 Payouts

If Celadon Markets collects payments on behalf of vendors (e.g., consignment or special programs), payouts will occur only after:

  • The event has concluded

  • No disputes or chargebacks are pending

Celadon Markets may issue refunds to Buyers if legally required, in which case no payout will be made to the vendor for that transaction.

2.2 Vendor Payment Information

Vendors must provide accurate payment information and keep it updated.

2.3 Minimum Payout Threshold

Celadon Markets may impose a minimum payout threshold.
Balances below the threshold will roll over until the minimum is reached.

2.4 Withholding Payments

Celadon Markets may withhold or delay payments if:

  • Fraud is suspected

  • Chargebacks are likely

  • A vendor violates policies

  • A dispute is under investigation

Funds may be frozen for up to six months if fraudulent activity is suspected.

2.5 Disputed Payouts

Vendors must notify Celadon Markets of payout discrepancies within 30 days.
Failure to do so waives the right to dispute the payment.

2.6 Refund Obligations

If Celadon Markets issues a refund on behalf of a vendor and the vendor lacks sufficient funds, the vendor must reimburse Celadon Markets in full.
Service fees are non‑refundable.

3. Third‑Party Merchant Accounts

3.1 Vendor‑Managed Payments

Vendors who connect their own Stripe or similar merchant accounts are responsible for:

  • Processing payments

  • Issuing refunds

  • Handling disputes

Celadon Markets is not liable for delays or failures by third‑party vendors to issue refunds.

4. Taxes, Chargebacks, and Refunds

4.1 Taxes

Vendors and Buyers are responsible for paying any applicable taxes.
Vendors must comply with Minnesota sales tax requirements.

4.2 Chargebacks

If a chargeback occurs for any reason other than Celadon Markets’ error, the vendor is responsible for:

  • The chargeback amount

  • Processor fees

  • Administrative costs

Celadon Markets may withhold a portion of vendor proceeds to cover potential chargebacks.

4.3 Refund Policy

Refund policies are stated at checkout.
If no policy is stated, all sales are final and non‑refundable, except where required by law.

5. Data Use and Privacy

5.1 Buyer Information

Celadon Markets may provide vendors with limited Buyer information when necessary to fulfill vendor‑related services.
Vendors must:

  • Keep Buyer information confidential

  • Use it only for event‑related purposes

  • Protect it from unauthorized access

5.2 Vendor Data Responsibilities

Vendors must comply with applicable data protection laws when handling Buyer information.

5.3 Prohibited Data Collection

Vendors may not collect:

  • Payment card numbers

  • Bank account details

  • Sensitive personal data (race, religion, health, etc.)

  • Information about minors under age 13

Violation may result in immediate termination.

6. Enforcement Against Vendors

Celadon Markets may, at its sole discretion:

  • Cancel a vendor listing

  • Cancel a transaction

  • Suspend or terminate a vendor account

  • Remove a vendor from the event

This may occur at any time and for any reason, including policy violations, safety concerns, fraud, or non‑compliance.

7. Buying Tickets – Price, Payment & Conditions

7.1 Sale Price

Celadon Markets sets the sale price of tickets and may change prices before purchase.

7.2 Fees

All fees will be clearly displayed at checkout.

7.3 Buyer Responsibility

Buyers must review all event details before purchase.

7.4 Payment Authorization

By completing a purchase, the Buyer authorizes Celadon Markets or its payment processor to charge the full transaction amount.

7.5 Ticket Terms

All tickets are subject to:

  • Event rules

  • Venue rules

  • Applicable laws

  • Restrictions on resale or transfer

7.6 After‑Sales Support

Buyers must contact Celadon Markets directly for post‑purchase questions.

7.7 Currency

All prices are listed and charged in U.S. Dollars (USD).

8. Cancellation and Refunds

8.1 Cancellation

If no cancellation policy is stated, all sales are final.

8.2 Refunds

Refunds, when permitted, are processed within a reasonable timeframe.

8.3 Refunds via Celadon Markets

If Celadon Markets processed the original payment, Celadon Markets will issue the refund.

8.4 Refunds via Vendor Merchant Accounts

If a vendor processed the payment, the vendor is solely responsible for issuing refunds.

8.5 Disputes

Buyers must request dispute‑related refunds within 48 hours of the event start time.

9. Service Rules

Users may not:

  • Violate laws

  • Infringe rights

  • Disrupt the Site

  • Harass others

  • Submit harmful or illegal content

  • Impersonate others

  • Use bots or scraping tools

  • Circumvent fees

  • Access restricted systems

  • Reverse‑engineer software

  • Reproduce or alter tickets

Celadon Markets may investigate violations, cooperate with law enforcement, and terminate accounts.

10. Warranties and Indemnities

10.1 Accuracy of Information

Users warrant that all information provided is accurate and truthful.

10.2 Legal Compliance

Users must comply with all applicable laws and be at least 13 years old.

10.3 Tax Indemnity

Vendors indemnify Celadon Markets for tax‑related claims arising from their activities.

10.4 General Indemnity

Users indemnify Celadon Markets for claims arising from:

  • Site misuse

  • Agreement violations

  • Legal violations

  • Third‑party rights violations

11. Disclaimers and Liability

11.1 Disclaimers

Celadon Markets provides all services “as is” and disclaims all warranties.

11.2 Event Attendance

Celadon Markets is not liable for:

  • Injuries or property damage unless caused by gross negligence

  • Loss, theft, or damage to personal property

11.3 Limitation of Liability

Celadon Markets’ total liability is limited to:

  • $100, or

  • The amount paid to Celadon Markets in the past 12 months

whichever is greater.

11.4 Force Majeure

Celadon Markets is not liable for events outside its control, including:

  • Natural disasters

  • War or terrorism

  • Government restrictions

  • Venue closures

  • Severe weather

12. Dispute Resolution

12.1 Negotiation

Celadon Markets will attempt to resolve disputes through good‑faith negotiation.

12.2 Mediation

If unresolved within 28 days, either party may request mediation.

12.3 Arbitration (U.S. Residents)

Most disputes must be resolved through binding arbitration.
Small claims court is permitted.
Class actions and jury trials are waived.

Arbitration is governed by the Federal Arbitration Act.

13. General Provisions

  • Users are responsible for their own tax obligations.

  • Failure to enforce a provision does not waive rights.

  • Celadon Markets may assign its rights; users may not.

  • Invalid provisions do not affect the remainder.

  • No partnership or agency relationship is created.

  • This Agreement supersedes all prior agreements.

  • Notices are effective upon delivery or email transmission.

  • Minnesota law governs this Agreement.
